About the Company

Our client is a global investment holding firm specializing in the automotive component manufacturing sector. Now, they are seeking a highly skilled and motivated Company Secretary to join dynamic team and contribute to ongoing success. In this role, you will play a crucial role in managing compliance with SET/SEC laws and regulations, collaborating with corporate governance bodies, and closely engaging with international board committees.

Job Responsibilities
  • Provide guidance to the Board of Directors and management on relevant laws and regulations.
  • Support company-secretary functions to uphold corporate governance standards.
  • Organize Directors and Officers Liability Insurance for directors and management.
  • Coordinate all Board and Shareholder meetings in compliance with company laws.
  • Collaborate with other departments like Finance for operational efficiency.
  • Maintain Statutory Registers as per Companies Act & Rules.
  • Handle ad-hoc projects and liaise with government authorities.
  • Ensure timely reporting and disclosure to SET and SEC.
  • Prepare Annual Reports for SEC and SET submission.
  • Compile meeting papers for various committees and ensure presentation readiness.
  • Coordinate and manage meetings for the Board and committees.
  • Record minutes of all meetings.
  • Monitor corporate governance practices and ensure compliance.
  • Coordinate with corporate governance agencies for updates and information exchange.
  • Support Board activities and facilitate communication between the Board and executives.
  • Update and maintain Company website data.
  • Coordinate with relevant authorities as required.


Experience requirements
  • Bachelor's degree in law, or related field.
  • Minimum of 3 years of experience in a similar role, preferably within the industrial or manufacturing sector.
  • Strong knowledge of corporate governance principles, regulations, and best practices.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels of the organization.
  • Detail-oriented with strong organizational and analytical abilities.
  • Ability to work independently and prioritize tasks in a fast-paced environment.
