Job Responsibilities
  • Serve as a subject matter expert on transactional risk insurance solutions, including available coverage options, insurers in the market, and other related aspects.
  • Utilize legal expertise to assess M&A transactions, advising on insurance availability, suitability, market conditions, placement strategies, pricing, coverage terms, and the necessary documentation, process, and timeline.
  • Oversee the insurance placement process, from obtaining initial terms and structuring tailored insurance programs to guiding clients through underwriting, negotiating optimal coverage, and finalizing placements at competitive rates.
  • Support local and regional Private Equity and Mergers & Acquisitions (PEMA) teams in fostering strong relationships with private equity firms, corporate clients, and their advisors to drive new business opportunities.
  • Maintain strong working relationships with insurers and underwriters to secure the best possible insurance solutions and underwriting outcomes for clients, differentiating from competitors.
  • Actively participate in business development efforts, including client presentations, workshops, and meetings, as well as engaging with insurers, attending industry conferences, and networking events.
  • Contribute to strategic initiatives that enhance the firm’s position in the transactional risk insurance market and drive revenue growth.
Experience requirements
  • LL.B. or higher with strong academic performance and a Thai lawyer’s license.
  • 3–5 years of post-qualification experience (PQE) in corporate and M&A law, preferably with a reputable local or international law firm, handling due diligence, transaction structuring, contract negotiation, and regulatory compliance.
  • Proficient in conducting M&A and due diligence, drafting and negotiating sale and purchase agreements, share subscription agreements, and other transaction-related documents, including key provisions such as indemnities and liability limitations.
  • Strong research, drafting, problem-solving, and negotiation skills, with the ability to manage complex legal matters independently under tight deadlines in a dynamic environment.
  • Strong relationship-building, teamwork, leadership, and adaptability in cross-cultural settings.
